Transparency and professional conduct

Independence and high standards of professional conduct are crucial for ensuring high standards and excellence for the work of the EBA. The agency endeavours to operate in a clear and open manner and is mindful of its duty of transparency towards EU citizens. The agency also strives to ensure that its staff and Management Board do not have any interests that could affect their impartiality and has put in place specific policies to deal with any potential conflicts of interests.

The EBA Conflict of Interest Policy

To this end, the ‘Policy on Independence and Decision Making Processes for avoiding Conflicts of Interests (Conflict of Interest Policy)' adopted by the EBA Board of Supervisors supports the prompt identification and the consequent management of any actual or potential conflict of interest.

Who is concerned?

This policy concerns members of the Board of Supervisors, members of the Management Board, their officially nominated Alternates, as well as Observers (i.e. heads of national Competent Authorities of Member States of the EEA), Non-voting Members (i.e. representatives of the European Commission, the ESRB, ESMA, EIOPA, ECB) and other representatives of national Competent Authorities referred to in Article 40(4) of Regulation (EU) No 1093/2010. All those subject to this policy are required to submit a ‘Declaration of Interests' which is assessed by the EBA and made publicly available on its website.

How is a conflict of interest defined?

The EBA Conflict of Interest Policy identifies different kinds of interests that should be reported to and assessed by the EBA. These range from economic interests, memberships, activities with other employers, consultancy activities, intellectual property rights, interests of close family members and any other activities or situations which might create an actual or potential conflict of interest. Wherever a conflict of interest is identified appropriate measures must be taken to either remove it or mitigate it; the policy also reminds all those subject to it that improper disclosure of Confidential Information may constitute serious misconduct and may be subject to disciplinary measures, as well as prosecution, where improper disclosure of information is a criminal offence.

Professional conduct: the ‘Declaration of Intention'

In addition, all those involved in the activities of the EBA are bound to professional secrecy and to confidentiality requirements. They have to confirm their compliance with these requirements on a ‘Declaration of Intention'. In the case of members of the Board of Supervisors, Management Board and their officially nominated alternates, this ‘Declaration of Intention' is also made public.

Information on EBA Top Management that has resigned

In line with its Conflict of Interest Policy, the EBA publishes information on future employments that the EBA's Top Management may take up within a 2 year period following the end of their contract.

Andrea Enria left the EBA 31.12.2018 and is as of 1.01.2019 head of the supervisory board of the European Central Bank.

Adam Farkas submitted his resignation on 2.8.19 and notified his intention to engage in occupational activity as Chief Executive Officer of Association for Financial Markets in Europe (AFME). The Board of Supervisors gave its approval to carry out the activity, subject to the following restrictions:

 Restrictions while in the service of the EBA
 
1. Mr Farkas's responsibilities are limited to organisational and operational matters. In particular, Mr Farkas does not participate in the preparation of EBA regulatory and supervisory policies and does not attend discussions in the Management Board, Board of Supervisors or Joint Committee of the ESAs on such items. In the case of doubt in relation to a particular activity, Mr Farkas consults the Chairperson who determines the appropriate role for Mr Farkas in relation to that activity.
2. Mr Farkas has no to EBA information that is outside the scope of the Operations Department and the Accounting function.
3. Mr Farkas does not represent the EBA externally except on the instruction of the EBA Chairperson or on the express request of the European Parliament, the Council or the European Commission.
4. Mr Farkas is required by 31 October 2019 to delegate his functions to one or more Directors or Heads of Unit.
5. From 1 November 2019 until the expiry of Mr Farkas's notice on 31 January 2020 Mr Farkas will not attend the EBA's premises except upon request of the Chairperson, and ceases to have access to EBA systems.
 
Restrictions after leaving the service of the EBA
 
Mr Farkas is required not, for 24 months after leaving the service of the EBA, to engage in lobbying or advocacy of the EBA or its staff on matters for which he was responsible during the last three years of service.
Mr Farkas is required not, for 24 months after leaving the service of the EBA, to have professional contacts with EBA staff on behalf of AFME.
Mr Farkas is required for 18 months after leaving the service of the EBA to refrain from assisting AFME members, and otherwise contributing to AFME's activities on topics directly linked to work carried out by him during his last three years of service. This includes in particular: the EU impact and implementation of the finalised Basel III standards; prudential policies relating to the fundamental review of the trading book, non-performing loans and securitisation; the EBA stress test; ML/TF risks in the prudential supervisory process; and secure customer authentication and API implementation under the Payment Services Directive 2. In case of doubt, Mr Farkas is required to contact the EBA.
Mr Farkas is required not, without authorisation, to disclose information received in the line of duty unless that information has already been made public or is accessible to the public (Article 17(1) Staff Regulations). Mr Farkas is required not to exploit insights of a confidential nature in policy, strategy or internal processes that the Staff Member has acquired in the line of duty and that have not been made public or is otherwise accessible to the public.
